Content Creator Terms and Conditions

Welcome to the MaisoNovo Affiliate Program!

By participating in the MaisoNovo Affiliate Program (the "Program"), you agree to adhere to the following terms and conditions (the "Agreement"). This Agreement is between you ("Affiliate", "you", or "your") and MaisoNovo ("we", "us", "our", “Company”, or " MaisoNovo "). Please read these terms carefully.

For the purposes of this Agreement, "Content" shall refer to any and all forms of media created, produced, or delivered by the Creator, including but not limited to photographs, videos, digital images, and written posts. The Content is specifically designed for the purpose of promoting and showcasing the products selected by the Creator ("Selected Products") as agreed upon in this Agreement. The Content will be published and disseminated on various social media platforms or other digital channels as determined by the Creator, in accordance with the guidelines and objectives outlined herein. The Creator's production of Content under this Agreement is intended to align with the Company's marketing and promotional efforts, thereby enhancing product visibility and engagement with the target audience.

After viewing this Agreement and  clicking “Accept” on the application form on JotForm, you acknowledge and agree to the terms and conditions of this Agreement electronically. The act of clicking “Accept” shall constitute an electronic signature.

1. Prerequisites for Participation, Requirements, and Acceptance into the Program

• Prerequisites. Applicants must have an active online presence and a follower count that meets Maisonovo's minimum threshold. Specifically:
• you have at least 5,000  followers; 
• you have quality content (i.e. no blurry videos, have disclaimers of music author rights you do not own, no copyright infringement of other content creators);
• your videos, photos or other content in general is focus in on our target or category; 
• your content has an engagement rate of more than 0.5%.
• Requirements. In order to participate in the Program, you need to:
• Complete the application form on JotForm, or or share your information with us on our FB chat.
• If your application is accepted, you will receive the product of your choice, and you have two weeks (14 days) to upload the Content.
• It is mandatory to tag us (@maisonovo) in your content. We reserve the right to pay you if you don’t tag the account or the products (in case of TikTok Shop), so it is important that you tag us. 
• After we reviewed your Content and approved it, we will reach out to you and pay you.
• Notification of Acceptance: acceptance notification will be sent to you once we have reviewed and accepted your application. You will be notified by JotForm and Instagram or the email address you provided. We will reach out for the second time for approval of content and payment if we approve the content that is uploaded.
• Rejection: if your content has not been considered this time, we will let you know what type of content we need, and you will have the opportunity to try again. The Requirements above apply. 

2. Compensation

     a.You will only be compensated for Content that is selected and used by the              Company as per the terms communicated by the Company. 
     b.Compensations are contingent upon your follower count, engagement rate            and number of views of the content. 

3. Content Selection and Usage

• The Company reserves the sole and absolute discretion to select any Content for its use. The selection of Content by the Company does not constitute an obligation to use or publish the selected Content. 
• The Company is under no obligation to use any of the Content submitted by you. The Company will not be liable for any costs, expenses, or losses incurred by you during the creation of Content that is not selected for use. 
• If the Company chooses to use the Influencer’s Content, the Company will notify you of such selection and the terms of use, including any compensation if applicable.

4. Responsibilities of Affiliate 

Affiliates must create content that aligns with MaisoNovo's brand values, adhere to promotional guidelines, and accurately report sales and traffic. As an Affiliate, you are expected to create original, high-quality content that positively represents the MaisoNovo brand and its values.

Content must not contain or promote offensive, harmful, or inappropriate themes or language.

Affiliates must disclose their partnership with MaisoNovo in a clear and conspicuous manner in all promotional materials.

5. Link Promotion Terms Permitted Promotions

Affiliates may promote their link through their social media, blogs, and other approved channels. The link must not be displayed on any site that promotes offensive, illegal, or inappropriate content. Any attempt to artificially inflate sales or clicks, or to use the link in any manner not approved by MaisoNovo, will be considered misuse.

6. Brand Promotion Terms 

Brand Name Use: Affiliates must use the MaisoNovo brand name accurately and responsibly. Messaging Guidelines: Affiliates should ensure their messaging is truthful, complies with all applicable laws, and does not misrepresent MaisoNovo products. 

Intellectual Property: you grant the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the selected Content in connection with the Program and the Company’s marketing and promotional activities. 

7. Nature of the Relationship

Affiliates are independent contractors and not employees of Maisonovo. This partnership does not create an employer-employee relationship, agency, partnership, or joint venture.

8. Non-Exclusivity Clause

This Agreement does not restrict MaisoNovo from working with other Affiliates, nor does it restrict the Affiliate from promoting other businesses and products.

9. Use of Promotional Materials
10. MaisoNovo will provide Affiliates with necessary promotional materials and guidelines for use.
11. Affiliates must ensure that all MaisoNovo trademarks and intellectual property are used in accordance with our guidelines.

10. Amendments

MaisoNovo reserves the right to amend these terms and conditions at any time. Continued participation in the Program after such amendments constitutes your acceptance of the new terms.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New York.

12. Term and Termination

This Agreement shall commence on the Effective Date and continue until terminated by either party with a 5 days written notice.

13. Indemnification 

You agree to indemnify and hold harmless the Company against any losses, damages, liabilities, claims, costs, penalties, and expenses arising from any breach of this Agreement. 

14. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

By participating in the MaisoNovo’s Affiliate Program, you acknowledge that you have read, understood, and agreed to these terms and conditions.
